This contract is an official and public offer from the Seller to sign a purchase and sale agreement for the Product presented at stableproxy.com. This contract is public, i.e. in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, entrepreneur) without giving an advantage to one buyer over another. By concluding this Agreement, the Buyer fully accepts the terms and the order of order placement, payment for goods, delivery of goods, return of goods, responsibility for unfair ordering, and all other conditions of the contract. The Contract is considered concluded from the moment when the "Confirm Order" button is pressed on the order form page in the "Basket" section and the Buyer receives an order confirmation from the Seller in electronic form.
- Definitions
1.1. Public offer (hereinafter - "Offer") - A public proposal from the Seller, addressed to an indefinite circle of people, to enter into a contract with the Seller to purchase product remotely (hereinafter - "Contract") on the terms contained in this Offer.
1.2. Product or Service - subject of the agreement between the parties, which was selected by the buyer on the Seller's online store website and placed in the shopping cart, or already purchased from the Seller remotely.
1.2. Online store - Seller's website at www.stableproxy.com created to enter into retail and wholesale purchase and sale contracts based on the Buyer's acquaintance with the Product description offered by the Seller through the Internet.
1.3. Buyer - capable individual who has reached the age of 18, who receives information from the Seller, places an order for the purchase of goods presented on the online store website for purposes not related to conducting business activities, or a legal entity or entrepreneur.
- Subject of the Agreement
2.1. The Seller undertakes to transfer to the Buyer the ownership of the Product, and the Buyer undertakes to pay for and accept the Product under the terms of this Contract.
2.2. The date of conclusion of the Contract-offer (acceptance of the offer) and the moment of full and unconditional acceptance by the Buyer of the Contract's conditions is the date of filling out the order form by the Buyer, located on the online store website, conditionally on receiving the order confirmation from the Seller in electronic form. If necessary, at the request of the Buyer, the Contract can be made out in written form.
- Placing an Order
3.1. The Buyer independently places an order in the Online store through the "Basket" form, or makes an order by email or by the phone number specified in the contact section.
- Buyer undertakes to:
4.1. Familiarize himself with the content of the Contract, the Contract conditions and prices proposed by the Seller on the online store website before the conclusion of the Contract. 4.2. For the Seller to fulfill his obligations to the Buyer, the latter must provide all necessary data that uniquely identifies him as a Buyer, and sufficient for the delivery of the ordered Product to the Buyer.
- Return of the Product
5.1. The Buyer has the right to return the Product of proper quality to the Seller if the product did not satisfy him or cannot be used by him for its intended purpose. The return of a product of proper quality is made if it has not been used and if.
5.2. The cost of the product is subject to return by bank transfer to the Buyer's account.
5.3. The return of the product of proper quality to the Seller is carried out at the expense of the Buyer and is not compensated by the Seller to the Buyer.
5.4. In case of detection within the established warranty period of defects in the Product, the Buyer personally, in the manner and terms established by the legislation of Ukraine, has the right to submit the claims to the Seller, provided by the Law of Ukraine "On Consumer Rights Protection". When making claims for free removal of defects, the deadline for their elimination is counted from the date when the Seller received the Product at his disposal and physical access to such a Product.
- Liability
6.1. The Seller is not responsible for the damage caused to the Buyer or third parties.
6.2. The Seller is not responsible for improper, untimely execution of Orders and his obligations in case of provision by the Buyer of unreliable or incorrect information.
6.3. The Seller and the Buyer are responsible for the performance of their obligations in accordance with the current legislation of Ukraine and the provisions of this Contract.
6.4. The Seller or the Buyer is released from liability for the full or partial failure to fulfill their obligations if failure is due to force majeure. The party that cannot fulfill its obligations will immediately notify the other party.
- Confidentiality and personal data protection.
7.1. By providing his personal data on the online store website during registration or placing an Order, the Buyer gives his free consent to the Seller to process, use (including transfer) his personal data, as well as to commit other actions provided by the Law of Ukraine "On Personal Data Protection", without limiting the term of this consent.
7.2. The Seller undertakes not to disclose the information received from the Buyer. Disclosure of information by the Seller to contractors and/or third parties acting on the basis of a contract with the Seller, also for the fulfillment of obligations to the Buyer, and in cases when the disclosure of such information is set forth by the requirements of the current legislation of Ukraine, is not considered a violation.
7.3. The Buyer is responsible for maintaining his personal data up to date. The Seller is not liable for the poor quality or non-performance of his obligations due to the non-actual information about the Buyer or its inconsistency with reality.
- Other conditions.
8.1. This Contract is concluded on the territory of Ukraine and operates in compliance with the current legislation of Ukraine.
8.2. All disputes arising between the Buyer and Seller are resolved by negotiation. If there is no resolution for a controversial issue reached by negotiation, the Buyer and/or the Seller have the right to apply for dispute resolution to the judicial bodies in accordance with the current legislation of Ukraine.
8.3. The Seller has the right to make changes to the Contract unilaterally, as foreseen in clause 5.2.1. Contract. In addition, changes to the Contract can also be made by mutual agreement of the Parties in the manner provided by the current legislation of Ukraine.
